Identify the work and employer relationship
A founder working across borders may assume that an income-tax treaty or foreign earned income exclusion resolves payroll social insurance. Those are separate questions. Determine where the person works, whether the person is an employee or self-employed, which entity employs the person, and whether an applicable totalization agreement assigns coverage. The company should obtain the social insurance analysis before removing contributions from either payroll.
The Social Security Administration explains that totalization agreements address dual social security taxation and certain benefit coverage gaps. The U.S. coverage includes Social Security and Medicare taxes, but the agreements do not create Medicare benefit coverage. A payroll tax allocation should therefore not be presented as a determination that the founder has health coverage in either country.
Apply the actual country agreement rather than a universal assignment rule
SSA describes a general detached-worker framework for temporary assignments, but agreements and circumstances differ. Review the country-specific rules, expected duration, prior coverage, employing entity, and any applicable exceptions. A founder hired locally by a foreign affiliate may have a different result from an employee temporarily sent abroad by the U.S. company.
Suppose a company expects a founder’s assignment to last thirty months. Its planning file also contains a possible eighteen-month extension, producing a forty-eight-month scenario. Those durations are facts for the applicable agreement review, not an automatic conclusion that home-country coverage applies. If the assignment later becomes indefinite or the employer changes, update the determination rather than relying on the original travel estimate.
Ask the reviewer to identify the actual agreement provision and the facts needed for the coverage certificate. Preserve the employment and assignment documents that support the answer. A founder’s control of both companies does not make the two employing entities interchangeable for this purpose.
Request the certificate from the covering system
SSA explains that a certificate of coverage documents exemption from the other agreement country’s social security system taxes on the same earnings. If U.S. coverage applies, follow the SSA request process; if foreign coverage applies, obtain the appropriate foreign certificate. The certificate should match the actual person, employer, work, and covered period.
Assign someone to track the request, receipt, payroll implementation, and expiration. Give payroll the complete approved document rather than a message stating that the certificate is coming. Compare the certificate’s effective and ending dates with the actual assignment dates and retain an explanation for any difference. Identify who will follow up if an agency requests additional employment information before issuing the document. If the business must process pay before documentation is complete, obtain specific instructions on the interim treatment and any later adjustment instead of making an unsupported assumption.
Model duplicate contributions without guessing statutory rates
Assume the payroll reviewer has calculated monthly social insurance charges of $1,100 under one system and $900 under another before resolving the agreement. The apparent combined outflow is $2,000. If the supported coverage determination removes the second $900 charge, the annual cash difference would be $10,800 for twelve identical months. The example uses assumed reviewed amounts, not actual national rates or a promise that a particular country permits that exemption.
Also identify whether the figures include employee withholding, employer contributions, or both. A reduction in employer cost is different from an increase in the founder’s net pay. Reconcile refunds or corrections separately so a cash forecast does not count a requested recovery as money already available.
Maintain the assignment and payroll history
Preserve certificates, requests, coverage analysis, assignment dates, employer changes, payroll calculations, and communications with the relevant agencies. Track any extension before the current certificate expires. A later change in residency, work location, or employing affiliate should trigger review even if the founder’s salary remains unchanged.
Coordinate the social insurance result with income-tax withholding, individual returns, immigration authorization, and actual health coverage under their own rules. None should be inferred solely from the certificate. This guide does not determine a specific country’s coverage or recommend an overseas assignment. Its useful decision is to establish and document the applicable social insurance system before changing owner payroll. That separates a supported exemption from an informal belief that paying tax in one country eliminates every payroll obligation in the other.
